Terms of service

The service

FreshFilings delivers a monthly list of new Michigan business registrations, built from the public records the Michigan Department of Licensing and Regulatory Affairs (LARA), Corporations Division, provides to us. We clean the data and add each record's county. We deliver each list after we receive the state's list for the month, so timing depends on the state.

The data is provided as received from LARA, except that files may include a small number of control records used to protect the data. We make no promise that it is complete, current or free of errors beyond what the state supplied to us, and we don't warrant it for any particular purpose.

Plans, billing and price

Subscriptions (monthly or annual) renew automatically until cancelled and are billed through Stripe. Single-month purchases are one-time. Prices are those shown on the site when you buy. We may change the price of future billing periods with at least 30 days' notice by email.

Cancelling, and refunds

You can cancel a subscription anytime through the billing portal (the link is in your receipt and in every delivery email; or write to [email protected] and we'll send it). Cancelling stops the next renewal. The period you've already paid for, monthly or annual, runs to its end, and every list we release before it ends is still delivered to you. A list released after your paid period has ended isn't delivered, even if it covers a month inside that period: the state publishes each month's list early the following month, so if your paid period ends before that month's list comes out, you won't receive it. The same applies while a renewal payment is overdue: a list released then is held back, and is sent once the payment goes through. We don't refund payments, including the unused part of a period. One-time purchases are final.

Your license, and what you may not do

You get a non-exclusive, non-transferable license to use the lists for your own business's outreach and research. You may not resell, sublicense, republish, publicly post or share the lists (or a substantial part of one) with anyone outside your company, or use them to build a product or service that competes with FreshFilings. Your own service providers (for example a mailing house or CRM provider) may process a list on your behalf, only to provide their service to you; they may not keep, reuse or share it. We may use technical means to detect unauthorized redistribution. If you break this section we may suspend or end your access immediately, without refund.

Acceptable use

You're responsible for how you use the data and for complying with the laws that govern your outreach, including CAN-SPAM, the Telephone Consumer Protection Act and do-not-call rules, and state law. Don't use it to send spam, to harass anyone, or for anything unlawful. The list is not a consumer report and may not be used to decide anyone's eligibility for credit, insurance, employment or housing.

Disclaimer and limits on liability

FreshFilings is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all other warranties, and we aren't liable for indirect, incidental or consequential damages or lost profits. Our total liability for any claim relating to the service is limited to what you paid us in the 12 months before the claim arose.

Governing law

These terms are governed by Michigan law, without regard to its conflict-of-law rules. Disputes will be brought in the state or federal courts located in Michigan.

Changes

We may update these terms; the version on this page, with its effective date, is the current one. Continuing to use the service after a change means you accept it.
